TESTOSTERONE SHOTS COLLECTS PAYMENT ONLY FOR THE PATIENT’S TELEMEDICINE CONSULTATION, CLINICAL REVIEW, CARE COORDINATION, AND RELATED CLINICAL SERVICES. TESTOSTERONE SHOTS DOES NOT COLLECT PAYMENT FOR PRESCRIPTION-ONLY OR PHARMACY-ONLY MEDICATION THROUGH STRIPE OR THROUGH ITS WEBSITE CHECKOUT. IF A LICENSED PROVIDER DETERMINES THAT TREATMENT IS MEDICALLY APPROPRIATE, THE PRESCRIPTION IS SENT TO A LICENSED PHARMACY PARTNER. THE PHARMACY CONTACTS THE PATIENT DIRECTLY TO VERIFY SHIPPING INFORMATION, VERIFY BILLING INFORMATION, AND COLLECT PAYMENT FOR THE MEDICATION. THE PHARMACY IS RESPONSIBLE FOR DISPENSING AND SHIPPING THE MEDICATION DIRECTLY TO THE PATIENT, WHERE PERMITTED BY LAW.

I. INTRODUCTION

Testosterone Shots, PC and its subsidiaries, affiliates, and related entities, as applicable, collectively referred to as “Testosterone Shots,” “we,” “us,” or “our,” owns and operates the website www.TestosteroneShots.com and may, now or in the future, own and operate related websites, software, mobile applications, or online services, collectively referred to as the “Sites.”

Your use of the Sites, any part thereof, or anything associated with the Sites, including services, features, content, applications, forms, communications, scheduling tools, intake forms, and related technology, constitutes the Testosterone Shots Service, referred to in these Terms as the “Service.”

These Terms of Service, referred to as the “Terms” or “Agreement,” govern your access to and use of the Service. By accessing or using any part of the Service, you agree to be bound by this Agreement, which is a legally enforceable contract between Testosterone Shots and you, the individual user, referred to as “you” or “your.”

Please read this Agreement carefully.

II. ACCEPTANCE OF TERMS

Your use of the Service is subject to this Agreement and all applicable laws and regulations. If you do not accept and agree to be bound by this Agreement in its entirety, you are strictly prohibited from visiting, accessing, registering with, purchasing, or using the Service.

The Service is continually under development, and we reserve the right to revise, update, replace, or remove any part of this Agreement or the Service in our sole discretion at any time without prior notice, unless notice is required by law. Any changes are effective upon posting to the platform or website. Your continued use of the Service after a change has been posted constitutes your acceptance of the Agreement as modified. If you disagree with any modification, your sole remedy is to discontinue use of the Service.

III. TELEMEDICINE PLATFORM MODEL

Testosterone Shots operates as an independent telemedicine business that facilitates access to licensed healthcare providers for telemedicine consultations, clinical review, care coordination, and related clinical services.

Testosterone Shots is separate and independent from any licensed pharmacy. Testosterone Shots is not a pharmacy. Testosterone Shots does not manufacture, compound, dispense, sell, handle, warehouse, or ship prescription medications or pharmaceutical products.

The Service operates as follows:

1. The patient pays Testosterone Shots only for the telemedicine consultation, clinical review, care coordination, and related clinical services.

2. A licensed healthcare provider reviews the patient’s intake, medical history, laboratory information, and other clinically relevant information.

3. Treatment approval is not guaranteed. The provider may approve treatment, deny treatment, modify treatment, request additional information, request laboratory testing, or recommend that the patient seek in-person care or care from another healthcare provider.

4. If a licensed provider determines that treatment is medically appropriate, the provider may issue a prescription.

5. If a prescription is issued, the prescription is sent to a licensed pharmacy partner or another appropriate licensed pharmacy, where permitted by law.

6. The pharmacy contacts the patient directly to verify shipping information, verify billing information, and collect payment for the medication.

7. The pharmacy — not Testosterone Shots — is responsible for medication billing, dispensing, pharmacist counseling when applicable, packaging, shipping, and pharmacy compliance.

8. The pharmacy ships the medication directly to the patient, where permitted by law.

Testosterone Shots never takes possession of, handles, resells, dispenses, or ships prescription medications. Payments collected by Testosterone Shots through the website or through Stripe are for consultation, clinical review, care coordination, laboratory services when applicable, and related non-pharmacy services only. Testosterone Shots does not collect payment for prescription-only or pharmacy-only medication through Stripe or through the website checkout.

IV. OUR RELATIONSHIP WITH YOU

A. Telehealth Consultations and Services

The Service may include access to licensed healthcare providers or professional medical organizations, referred to as “Medical Groups,” that provide healthcare services through or in connection with the Service. These Medical Groups employ or contract with licensed medical providers, referred to as “Providers,” who may provide healthcare services through telemedicine.

All medical providers who deliver healthcare services through the Service are independent medical professionals or professionals employed or contracted by affiliated professional entities. Providers are solely responsible for the medical care, medical advice, diagnoses, treatment decisions, and prescriptions, if any, that they provide.

Consultations are provided by a Provider licensed in the state where you, the patient, are physically located at the time of the consultation, where required by applicable law.

Provider consultations may result in diagnoses, treatment recommendations, prescriptions, laboratory testing recommendations, or denial of treatment, depending on the Provider’s independent clinical judgment. No prescription is guaranteed.

B. No Guarantee of Treatment

Submitting an intake form, paying for a consultation, scheduling a visit, or using the Service does not guarantee that you will receive a prescription or any specific treatment. Providers may decline to prescribe medication or may recommend alternative care based on clinical judgment.

V. TESTOSTERONE SHOTS MEMBERSHIP

A. The Service may make available certain consultation services, clinical review services, care coordination services, laboratory coordination services, administrative services, customer support services, and related healthcare technology services.

B. Upon signing up and agreeing to these Terms, you may be enrolled as a registered user or member in addition to any specific consultation, program, or service you select.

C. Membership or program access may include use of the Testosterone Shots website, intake forms, scheduling tools, customer support, care coordination, health information management, and administrative support related to clinical services.

D. If a prescription is issued by a licensed provider, the prescription may be sent to a licensed pharmacy partner. Testosterone Shots is an independent business from the pharmacy. The pharmacy is a separate third-party entity responsible for pharmacy services, including medication billing, payment collection, dispensing, pharmacist counseling when applicable, shipping, and pharmacy compliance.

E. Testosterone Shots does not collect payment for prescription medication on behalf of any pharmacy. The pharmacy contacts the patient directly to verify shipping information, verify billing information, and collect payment for the medication.

F. You understand and agree that any services provided by pharmacies, laboratories, Medical Groups, Providers, or other third parties may be subject to additional third-party terms, policies, and legal requirements.

VI. INDEPENDENT MEDICAL JUDGMENT

Testosterone Shots does not practice medicine and does not control or interfere with the independent professional judgment of any Provider. Providers are solely responsible for determining whether telemedicine services are appropriate for you, whether treatment is medically appropriate, whether laboratory testing is required, and whether a prescription should be issued.

You understand and agree that after reviewing your information, the Provider, in his or her independent professional judgment, may prescribe medication, recommend other treatment, request additional information, require laboratory testing, deny treatment, or recommend that you consult with another healthcare provider or seek in-person care.

VII. PHARMACY SERVICES

By accepting this Agreement, you understand and agree that Testosterone Shots is not acting as a pharmacy and does not control or interfere with any pharmacy services.

If a prescription is issued, you may enter into a separate relationship with a licensed pharmacy, pharmacist, pharmacy group, or other third-party pharmacy service provider. All prescription fulfillment is performed by licensed pharmacies that are independent from Testosterone Shots.

The pharmacy is solely responsible for contacting the patient directly to verify shipping information, verify billing information, collect payment for medication, dispense medication, provide pharmacist counseling when applicable, and ship medication directly to the patient, where permitted by law.

Testosterone Shots does not collect payment for prescription-only or pharmacy-only medication. Testosterone Shots does not dispense, sell, ship, handle, or accept returns of prescription medications.

VIII. ELECTRONIC COMMUNICATIONS

When you enroll in and use the Service, you consent to conduct business electronically with Testosterone Shots and to engage in health-oriented activities with Providers and professional entities affiliated with or accessible through the Service. Such electronic processes may have the same force and effect as your written signature.

You agree and consent to Testosterone Shots, its affiliates, subsidiaries, service providers, Medical Groups, Providers, and other related entities sending you disclosures, messages, notices, and other communications to your designated mobile phone number and email address.

You understand that the Service is not responsible for the security or privacy of communications services you use to receive such messages, including your email provider, phone carrier, or device. It is your responsibility to monitor and respond to these messages.

Neither Testosterone Shots nor any Medical Group or Provider will be liable for any loss or injury resulting from your failure to read or respond to messages, or your failure to comply with treatment recommendations.

IX. LABORATORY PRODUCTS AND SERVICES

Laboratory products and services available through or coordinated by the Service, including at-home testing kits, may require a valid prescription, authorization, or order by a licensed healthcare provider.

If you receive laboratory products or services through the Service, the applicable testing materials may be shipped to you by a laboratory or laboratory vendor. Laboratory-related costs, if any, may be charged by Testosterone Shots or by a third party, depending on the specific service offered.

Laboratory products and services are separate from prescription medication. Payment for prescription medication is not collected by Testosterone Shots through Stripe or through the website checkout.

X. THIRD-PARTY GOODS AND SERVICES

Laboratories, pharmacies, Medical Groups, Providers, technology vendors, shipping vendors, and other third parties, collectively referred to as “Third Parties,” may provide services or products in connection with the Service, referred to as “Third-Party Goods and Services.”

Your use of any Third-Party Goods and Services and any interactions with Third Parties, including pharmacy billing, medication payment, dispensing, shipping, delivery, pharmacist counseling, laboratory services, or other third-party services, are solely between you and the applicable Third Party, unless otherwise expressly stated.

Prescription medication payment, if any, is collected directly by the dispensing pharmacy. Testosterone Shots does not collect payment for prescription-only or pharmacy-only medication through Stripe or through the website checkout.

Should any dispute arise between you and any Third Party, you understand and agree that Testosterone Shots is under no obligation to become involved, except as required by law. You release and indemnify Testosterone Shots and its corporate parents, subsidiaries, affiliates, contractors, directors, officers, employees, representatives, agents, predecessors, successors, assigns, accountants, and attorneys from any and all claims, demands, or damages arising out of or related to disputes between you and Third Parties.

IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

Testosterone Shots shareholders, directors, officers, employees, contractors, or agents may have a financial interest in one or more Third Parties and may profit from your use of certain Third-Party Goods and Services, where permitted by law.

XI. MODIFICATION AND TERMINATION OF RIGHTS

Testosterone Shots may suspend or terminate any rights granted by these Terms and your access to the Service with or without prior notice, at any time, for any reason, including a belief that your conduct violates applicable laws or is harmful to the interests of Testosterone Shots, its affiliated professionals, or other users.

Testosterone Shots may place limits on, modify, suspend, or terminate the Service generally, and may suspend or terminate your use if you fail to comply with this Agreement. Such suspension or termination may delete your information, files, and other previously available content, subject to applicable law and record-retention obligations.

Testosterone Shots reserves the right to amend these Terms, in whole or in part, at any time and for any reason, without penalty or liability to you or any third party. You should check the Terms regularly. If you use the Sites after amended Terms have been posted, you will be deemed to have agreed to the Terms as amended.

XII. ELIGIBILITY

In order to use the Service, the following must be true:

A. You are at least 18 years of age.

B. You live in the United States in a state or territory where the Services are available.

C. You agree to be legally bound by and comply with these Terms of Service.

D. You have compatible computing or mobile devices, internet access, and any software necessary to use the Sites.

Satisfying the above requirements does not guarantee that you will receive Services through the Sites. Testosterone Shots and its affiliated professional entities reserve the right to change or include new requirements at their sole discretion without prior notice. Providers may determine that healthcare services are not appropriate for a particular user.

XIII. AVAILABILITY

The Service is subject to state and federal laws, telehealth regulations, pharmacy regulations, provider licensure requirements, laboratory requirements, and other applicable regulatory requirements. Services may change from time to time due to changes in applicable regulatory requirements.

Services are available only to eligible individuals located in states where the applicable services are legally available.

XIV. REGISTRATION, USER ACCOUNTS, AND USER DATA

You must provide accurate and complete registration information when you register for or use the Service. It is your responsibility to maintain a true, accurate, and complete email address, physical mailing address, mobile phone number, and other registration information, and to update any changes promptly.

The Sites may contain fields that allow you to enter and transmit information or data, referred to as “User Data.” You understand and agree that any User Data provided by you may be used, copied, displayed, transmitted, or disclosed by Testosterone Shots as necessary to provide the Service, coordinate care, support Providers, support Medical Groups, communicate with pharmacies or laboratories, and comply with applicable law.

You grant Testosterone Shots, our service providers, our successors and assigns, and medical providers and their affiliated professional entities the transferable and sublicensable right and license to use, reproduce, modify, analyze, perform, display, distribute, and disclose User Data you submit through the Sites for the purposes of providing the Service, conducting operations, improving current or future services, and complying with legal obligations.

XV. YOUR PROTECTED HEALTH INFORMATION

You understand and agree that the Sites are intended to facilitate the Service by assisting with:

(a) development and gathering of healthcare records for use in medical provider encounters;

(b) administrative support for scheduling and payment for telemedicine consultation, clinical review, care coordination, and related clinical services;

(c) administrative support for coordinating prescription transmission to licensed pharmacies, when clinically appropriate;

(d) administrative support for coordinating with pharmacies that may contact the patient directly to verify shipping information, verify billing information, and collect medication payment;

(e) administrative support for laboratory orders, laboratory services, and care coordination, when applicable;

(f) telecommunications and technology support for access to Providers through the Sites.

Although Testosterone Shots may not be a “covered entity” under HIPAA in all circumstances, the Service gathers information from you to enable a Provider to determine whether a prescription, diagnostic test, or treatment is appropriate. This information may include health information, medical history, medications, blood pressure, laboratory results, diagnostic tests, personal information, demographic information, and contact information, collectively referred to as “Your Information.”

You consent to Testosterone Shots disclosing Your Information to affiliated professional entities, Providers, laboratories, pharmacies, and other service providers as necessary to provide the Service, coordinate care, transmit prescriptions when clinically appropriate, and comply with applicable law.

Any medical or health information subject to specific protections under applicable state or federal laws will be used and disclosed only in accordance with applicable laws. Medical Groups and Providers may have adopted a Notice of Privacy Practices describing how they use and disclose Protected Health Information. By accessing or using any part of the Service, you acknowledge receipt of the applicable Notice of Privacy Practices, if provided.

XVI. TERMS OF SALE

All consultation services, clinical review services, care coordination services, laboratory services, membership services, and other non-pharmacy services offered through the Service are subject to availability.

Testosterone Shots reserves the right to impose quantity limits, reject orders, decline services, cancel services, or correct errors without prior notice, where permitted by law. In the event of an error, we reserve the right to correct the error, revise your order, cancel the order, or issue a refund where appropriate.

Prices are subject to change at any time. You are responsible for any applicable sales, use, duty, customs, or other governmental taxes or fees due with respect to your purchase. Only valid payment methods acceptable to us may be used to complete a purchase. You represent and warrant that you are authorized to use your designated payment method.

You authorize Testosterone Shots, its affiliates, or its third-party payment processors to charge your designated payment method only for the consultation, clinical review, care coordination, laboratory services, membership services, or other non-pharmacy services you purchase through the Service.

Prescription medication costs, if any, are billed and collected directly by the dispensing pharmacy. Testosterone Shots does not collect payment for prescription-only or pharmacy-only medication through Stripe or through the website checkout.

All credit card, debit card, and other monetary transactions conducted through the Service occur through an online payment processing application accessible through the Service.

Any delivery dates, shipping timelines, or medication shipment information related to pharmacy-dispensed medications are provided by the pharmacy, if applicable, and are not controlled or guaranteed by Testosterone Shots.

XVII. YOUR RESPONSIBILITIES AND ACKNOWLEDGEMENTS

You are responsible for maintaining the confidentiality and security of your password and account and are fully responsible for all activities that occur under your account. You agree to the following:

A. All information about you provided through the Sites is accurate, complete, and current, and you will maintain and update your information as needed.

B. Your permission to use the Service is personal. You agree to keep your username and password confidential and to exit your account at the end of each session.

C. You are responsible for changing your password promptly if you believe it has been compromised. You may not transfer or share your password with anyone or create more than one account.

D. You agree to immediately notify Testosterone Shots of any unauthorized use of your account or any breach of security by emailing [email protected].

You understand and agree that the provision of healthcare through the Service depends on the completeness and accuracy of Your Information. Testosterone Shots is not responsible for any consequences arising from inaccurate or incomplete information you provide.

XVIII. RESTRICTIONS ON USE

In using the Service, you agree not to:

A. Send or transmit unlawful, infringing, harmful, harassing, defamatory, threatening, hateful, or otherwise objectionable material, or any unsolicited advertising or promotional materials.

B. Misrepresent your identity or affiliation in any way.

C. Restrict or inhibit any person from using the Service, disclose personal information obtained from the Service, or collect information about other users.

D. Reverse engineer, disassemble, or decompile any section or technology of the Service.

E. Gain unauthorized access to the Service, other users’ accounts, personally identifiable information, or other computers or websites connected to the Service.

F. Launch or use any automated system, including robots, spiders, or offline readers, that accesses the Service at a rate exceeding reasonable human usage.

G. Send chain letters, unsolicited messages, spam messages, phishing messages, or messages marketing goods and services.

H. Post, transmit, or make available any virus, worm, spyware, malware, or other computer code intended to damage or hijack any hardware, software, or telecommunications equipment.

I. Violate any applicable laws or regulations.

J. Alter or modify any part of the content or services offered through the Service.

K. Allow any other person to use the Service using your registration or login information.

L. Access Testosterone Shots APIs other than through an authorized direct connection from Testosterone Shots web or mobile applications.

M. Use the Service to create or develop competing products or services, or for any purpose that is commercially detrimental to Testosterone Shots.

N. Take any action that could damage, destroy, disrupt, disable, impair, overburden, or interfere with the Sites or any content.

O. Bypass, breach, or circumvent any security device, protection, or technological measure implemented by Testosterone Shots.

P. Remove, delete, alter, or obscure any trademarks, copyright notices, or other intellectual property notices from the Sites.

Q. Capture, record, share, or retain video footage, screenshots, or sensitive patient information from the Service in violation of applicable law or privacy requirements.

R. Encourage or enable any other individual to engage in any of the foregoing.

XIX. LICENSING

Subject to your compliance with these Terms, Testosterone Shots grants you a personal, limited, revocable, nonexclusive, and non-transferable license to view, access, and use the Service and its content solely for your personal and non-commercial use. No other right, title, or interest in the Service is transferred to you, and all rights not expressly granted are reserved.

You are not permitted to reproduce, publish, transmit, distribute, display, modify, create derivative works from, sell, or exploit in any way any content from the Service for commercial use without express written permission from Testosterone Shots.

XX. LIMITED HEALTHCARE SERVICES

Although you may receive a medical consultation and/or prescription through the Service, Testosterone Shots itself does not provide medical advice and does not practice medicine. Creating an account on TestosteroneShots.com does not, by itself, create a patient-provider relationship.

The Service is structured for use specific to certain healthcare services and should not be considered or used as comprehensive medical advice, primary care, emergency care, diagnosis, or treatment.

In some cases, the Service may not be the most appropriate way to seek medical care. Your Provider may determine that your diagnosis or treatment requires an in-person office visit, emergency care, specialist care, laboratory testing, or care from another healthcare provider.

The Service should not be used during a medical emergency. If you choose to discontinue your Testosterone Shots membership or services, you are strongly encouraged to follow up with your primary care provider or other qualified healthcare provider.

TESTOSTERONE SHOTS IS NOT RESPONSIBLE OR LIABLE FOR ANY ADVICE, COURSE OF TREATMENT, DIAGNOSIS, PRESCRIPTION, HEALTHCARE SERVICE, OR OTHER INFORMATION PROVIDED BY INDEPENDENT MEDICAL PROVIDERS, MEDICAL GROUPS, PHARMACIES, LABORATORIES, OR OTHER THIRD PARTIES.

XXI. TELEHEALTH CONSENT

Telehealth uses electronic communications, information technology, and other means to connect patients in one location and licensed healthcare professionals in another location regarding a clinical matter. Although telehealth carries potential benefits, like any medical service, it also carries potential risks and limitations.

By using healthcare services facilitated through the Service, you agree and acknowledge that Testosterone Shots is a beneficiary of the Medical Consent and has the right to enforce it where applicable.

XXII. PAYMENTS

You understand and agree that you are responsible for all fees due to receive the Service, including fees for telemedicine consultation, clinical review, care coordination, laboratory services, membership services, and related non-pharmacy services.

By submitting your information for healthcare services, you are agreeing to pay all fees due for the services selected. By entering your payment information and submitting your request, you authorize Testosterone Shots, our affiliates, or our third-party payment processors to charge the amount due for the consultation, clinical review, care coordination, laboratory services, membership services, or other non-pharmacy services you purchase.

Testosterone Shots collects payment only for the patient’s telemedicine consultation, clinical review, care coordination, and related clinical services. Testosterone Shots does not collect payment for prescription-only or pharmacy-only medication through Stripe or through its website checkout.

If a licensed provider determines that treatment is medically appropriate, the prescription is sent to a licensed pharmacy partner. The pharmacy contacts the patient directly to verify shipping information, verify billing information, and collect payment for the medication. The pharmacy is responsible for dispensing and shipping the medication directly to the patient, where permitted by law.

Testosterone Shots is an independent telemedicine business and is separate from any licensed pharmacy. Testosterone Shots does not dispense, sell, ship, handle, or accept returns of prescription medications.

You understand that Testosterone Shots’s affiliated medical professional entities may not be contracted healthcare providers with health insurance plans, and that you are exclusively and solely responsible for paying all fees for healthcare services received through the Service unless otherwise stated.

Neither you, Testosterone Shots, nor any medical professional may receive payment from federal or state healthcare programs for services or products provided to you through this Service, unless expressly permitted by law.

By choosing to use the Service, you are specifically choosing to obtain services on a cash-pay basis outside of any federal or state healthcare program.

XXIII. SUBSCRIPTION PRODUCTS AND SERVICES

Certain services available through the Service may require purchase on an automatically renewing subscription basis. Your payment method may be automatically charged at regular intervals as described for that service until you cancel. Amounts charged are dependent on the particular membership, program, or service in which you enrolled.

Subscription charges collected by Testosterone Shots are for consultation, clinical review, care coordination, membership access, laboratory services when applicable, and related non-pharmacy services only. Subscription charges collected by Testosterone Shots do not include prescription-only or pharmacy-only medication.

If a prescription is issued, medication payment, if any, is handled directly between the patient and the dispensing pharmacy.

XXIV. CANCELLATIONS AND REFUNDS

A. If you decide to cancel your membership subscription within 30 days of your initial enrollment, you may be eligible for a refund of your first month’s fee, depending on whether services have already been provided, whether a consultation has already been completed, and applicable law. Initial enrollment means the first time an individual signs up for the Service.

B. If you cancel after 30 days from initial enrollment, you are not eligible for a refund but may retain access to the relevant Service for the remainder of your paid period, unless otherwise stated.

C. Once a consultation, clinical review, or related professional service has been completed, fees for that service may be final and non-refundable, unless otherwise required by law.

D. Testosterone Shots does not accept returns of prescription medications because Testosterone Shots does not dispense, sell, ship, or handle prescription medications. Any medication payment, return, refund, or pharmacy issue must be addressed directly with the dispensing pharmacy, subject to pharmacy policy and applicable law.

E. You may cancel at any time by emailing [email protected] or by calling or texting 323-283-9219. Cancellation takes effect at the end of the current subscription period unless otherwise stated.

F. Your subscription may automatically renew unless you cancel before the applicable renewal processing date.

G. Testosterone Shots reserves the right to provide refunds outside of this Agreement on a case-by-case basis in its sole discretion.

XXV. PRESCRIPTION PRODUCTS

Certain treatments discussed through the Service may require a valid prescription by a licensed healthcare provider. You will not be able to obtain a prescription product unless you have completed a consultation or clinical review with a Provider, the Provider has determined that the prescription product is medically appropriate for you, and the Provider has written a prescription.

If a licensed Provider determines that a prescription is medically appropriate, the prescription may be sent to a licensed pharmacy partner or another appropriate licensed pharmacy, where permitted by law.

Testosterone Shots does not dispense, sell, ship, handle, or collect payment for prescription medication. The pharmacy contacts the patient directly to verify shipping information, verify billing information, and collect payment for the medication. The pharmacy is responsible for dispensing and shipping the medication directly to the patient, where permitted by law.

Patients may request that a prescription be sent to a pharmacy of their choice, where permitted by law and where clinically and operationally appropriate. In all cases, payment for prescription medication is made directly to the dispensing pharmacy, not to Testosterone Shots through Stripe or through the website checkout.

Please use caution when receiving prescription medication, as not all prescriptions fulfilled by pharmacies use child-resistant packaging.

Prescription medications and pharmacy services are Third-Party Goods and Services as described in Section X of this Agreement.

XXVI. PRIVACY

Testosterone Shots understands the importance of confidentiality and privacy regarding your personal information. Please see our Notice of Privacy Practices and our Privacy Policy for a description of how we may collect, use, and disclose your information in connection with the Service.

XXVII. INTELLECTUAL PROPERTY

The Service is owned by Testosterone Shots. We grant to you, for your personal purposes only, a nonexclusive, limited, and revocable right to access and use the Service during each paid subscription or service term, so long as you comply with this Agreement.

All materials available through the Service may be accessed, downloaded, or printed for noncommercial purposes and solely within the scope allowed by this Agreement. No other use may be made without express written permission of Testosterone Shots.

Any unauthorized use of words, images, logos, videos, website content, software, or other materials from the Service may violate copyright laws, trademark laws, privacy laws, publicity laws, and other applicable laws.

As between Testosterone Shots and you, Testosterone Shots is the sole and exclusive owner of all right, title, and interest in the Service and its content, features, and functionality, including all information, software, text, displays, images, video, audio, selection, arrangement, look and feel, and all intellectual property rights therein.

XXVIII. THIRD-PARTY LINKS AND WEBSITES

The Service may contain third-party owned content and links to third-party websites, referred to as “Linked Sites.” We provide such third-party content and links as a convenience.

We have no control over any third-party websites or content and do not endorse, sponsor, recommend, or otherwise accept responsibility for such websites or content unless expressly stated. Your use of Linked Sites is at your own risk.

Only these Terms apply to your use of or access to the Testosterone Shots Service. Third-party websites may have their own terms, policies, privacy practices, payment terms, and legal requirements.

XXIX. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, TESTOSTERONE SHOTS DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

TESTOSTERONE SHOTS DOES NOT WARRANT THAT THE SERVICE WILL FUNCTION WITHOUT DELAYS, DISRUPTIONS, ERRORS, CYBER ATTACKS, VIRUSES, MALWARE, OR OTHER ADVERSE INCIDENTS.

TESTOSTERONE SHOTS DOES NOT GUARANTEE THAT ANY PROVIDER WILL PRESCRIBE ANY MEDICATION OR THAT ANY PHARMACY WILL DISPENSE ANY MEDICATION.

XXX. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TESTOSTERONE SHOTS BE LIABLE TO YOU FOR ANY INCIDENTAL, INDIRECT, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING PERSONAL OR BODILY INJURY, EMOTIONAL DISTRESS, WRONGFUL DEATH, LOSS OF DATA, LOSS OF REVENUE, OR LOST PROFITS, RESULTING FROM THE USE OF OR INABILITY TO USE THE SERVICE.

ANY CLAIMS ARISING IN CONNECTION WITH YOUR USE OF THE SERVICE MUST BE BROUGHT WITHIN ONE (1) YEAR OF THE DATE OF THE EVENT GIVING RISE TO SUCH ACTION, UNLESS A LONGER PERIOD IS REQUIRED BY LAW.

TO THE FULLEST EXTENT PERMITTED BY LAW, TESTOSTERONE SHOTS SHALL BE LIABLE ONLY TO THE EXTENT OF ACTUAL DAMAGES INCURRED BY YOU, NOT TO EXCEED U.S. $1,000.

YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THIS AGREEMENT AND THAT THE SERVICE WOULD NOT BE PROVIDED TO YOU ABSENT SUCH LIMITATIONS.

XXXI. NOTICE

Any notices to you from Testosterone Shots regarding the Service or this Agreement may be made by email, posted notice on the Service, text message where permitted, or regular mail, in the sole discretion of Testosterone Shots.

XXXII. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Testosterone Shots, its clients, suppliers, Third Parties offering products or services through or in connection with the Service, including Medical Groups, Providers, laboratories, and pharmacies, and their respective affiliates, employees, officers, directors, agents, shareholders, and representatives from and against any and all suits, actions, claims, proceedings, damages, settlements, judgments, injuries, liabilities, obligations, losses, risks, costs, and expenses, including attorneys’ fees, relating to or arising from:

A. your use of the Service;

B. your fraud, violation of law, or willful misconduct;

C. any breach by you of this Agreement;

D. your violation of any rights of any other person or entity;

E. your failure to provide accurate, complete, and current information;

F. your dispute with any Third Party, including any pharmacy, laboratory, Provider, or Medical Group.

XXXIII. MODIFICATIONS TO THE SITES

Testosterone Shots reserves the right at any time and for any reason to place limits upon, modify, suspend, or terminate the Service, or any portion thereof, with or without notice.

You agree that Testosterone Shots shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Sites or Services generally.

XXXIV. GOVERNING LAW, DISPUTE RESOLUTION, ARBITRATION

This Agreement shall be construed in accordance with the laws of the State of Nevada, without regard to any principles of conflicts of law, except where prohibited by applicable law.

YOU AND WE EXPRESSLY AGREE THAT ANY LEGAL CLAIM, DISPUTE, OR OTHER CONTROVERSY BETWEEN YOU AND US ARISING OUT OF OR RELATING IN ANY WAY TO THE SERVICE, THE SITES, OR THIS AGREEMENT, COLLECTIVELY REFERRED TO AS “DISPUTES,” THAT IS NOT RESOLVED BY AN INFORMAL DISPUTE RESOLUTION CONFERENCE SHALL BE RESOLVED IN CONFIDENTIAL BINDING ARBITRATION CONDUCTED BEFORE ONE COMMERCIAL ARBITRATOR FROM THE AMERICAN ARBITRATION ASSOCIATION, REFERRED TO AS “AAA,” RATHER THAN IN A COURT.

THE ARBITRATION WILL BE GOVERNED BY THE AAA’S CONSUMER ARBITRATION RULES. YOU ACKNOWLEDGE THAT YOU ARE VOLUNTARILY AND KNOWINGLY FORFEITING YOUR RIGHT TO A TRIAL BY JURY.

Informal Resolution. Before commencing arbitration, both parties agree to personally meet and confer by telephone or videoconference in a good faith effort to resolve the Dispute informally, referred to as an “Informal Dispute Resolution Conference.” The party initiating a Dispute must provide written notice of intent to initiate an Informal Dispute Resolution Conference. If the Dispute is not resolved within thirty (30) days after the conference, either party may commence arbitration.

The arbitration shall be conducted in Las Vegas, Nevada, unless otherwise required by law. The arbitrator’s award shall be final and binding on all parties and may be entered as a judgment in any court of competent jurisdiction. The Federal Arbitration Act, 9 U.S.C. § 1 et seq., governs the interpretation and enforcement of this Arbitration Agreement.

CLASS ACTION WAIVER. YOU AND WE AGREE THAT ALL DISPUTES SUBJECT TO ARBITRATION UNDER THIS AGREEMENT MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, COLLECTIVE, OR REPRESENTATIVE BASIS. NO PARTY MAY BRING ANY CLAIM AS A PRIVATE ATTORNEY GENERAL, IN A REPRESENTATIVE CAPACITY, OR AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS PROCEEDING.

Opt-Out. You may opt out of the arbitration provision within thirty (30) days of the date you first agree to any version of this Agreement requiring arbitration. To opt out, send your name, residence address, and email address with a clear statement of your intent to opt out to:

XXXV. COPYRIGHT INFRINGEMENT

Testosterone Shots complies with the provisions of the Digital Millennium Copyright Act, referred to as the “DMCA,” applicable to internet service providers and responds to clear notices of alleged copyright infringement.

To file a notification, send written notice to our Designated Agent at [email protected] including:

1. The signature of the person authorized to act on behalf of the copyright owner;

2. Identification of the copyrighted work claimed to have been infringed;

3. Identification of the infringing content and its location on the Sites;

4. Your contact information;

5. A statement of good-faith belief that use of the content is not authorized;

6. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.

XXXVI. SEVERABILITY

All parts of this Agreement apply to the maximum extent permitted by law. Our failure to enforce any provision of this Agreement will not constitute a waiver.

If enforcement of any part of this Agreement as written is not possible, that part will be replaced with terms that most closely match the intent of the unenforceable part to the extent permitted by law.

The invalidity of any part of this Agreement will not affect the validity and enforceability of the remaining provisions.

XXXVII. THIRD-PARTY BENEFICIARIES

Any use of third-party software or Third-Party Goods and Services in connection with the Service will be governed by the applicable third party’s license, terms of use, privacy policy, payment policy, and other applicable terms.

Except as specifically set forth in this Agreement, there is no intent to create third-party beneficiary status rights in any other referenced individual, subcontractor, or third party.

XXXVIII. NO AGENCY

Neither this Agreement nor any content, materials, services, or features of the Service create any partnership, joint venture, employment, franchise, or agency relationship between you and Testosterone Shots, the Medical Groups, the Providers, laboratories, or pharmacies.

Testosterone Shots is an independent business and is separate from any licensed pharmacy. You may not enter into any contract on our behalf or bind us in any way.

XXXIX. ASSIGNMENT

You may not assign any of your rights under this Agreement, and any such attempt will be null and void. Testosterone Shots may, in its sole discretion, assign or transfer this Agreement or any of its contractual rights and obligations, in whole or in part, to any affiliate or to a third party in the event of a merger, sale of assets, reorganization, or otherwise.

XLI. SMS / TEXT MESSAGING CONSENT AND OPT-IN

Opt-In Consent. By submitting your mobile phone number on our website opt-in form and checking the SMS consent checkbox, you expressly consent to receive recurring automated or manually dialed SMS/text messages from TestosteroneShots.com PC (DBA: TestosteroneShotsCom), its affiliated healthcare providers, and service providers at the mobile number provided.

Checking the SMS consent checkbox is optional and is not required to purchase any service or access healthcare services.

Message Types. Messages may include appointment reminders, scheduling confirmations, consultation updates, treatment updates, lab result alerts, account updates, billing updates related to Testosterone Shots services, customer service communications, and promotional offers related to healthcare services, where permitted by law.

Message Frequency. Message frequency may vary based on your activity, treatment plan, and interactions with our services. You may receive multiple messages per week.

Opt-Out. You may opt out at any time by replying STOP to any text message. After opting out, you may receive one final confirmation message. To opt back in, text START to the same number or follow the instructions provided.

XLII. REGULATORY COMPLIANCE AND CERTIFICATIONS

Testosterone Shots maintains compliance processes and operational standards designed to support lawful telehealth operations.

A. LegitScript Certification. TestosteroneShots.com may maintain LegitScript certification or other third-party compliance review where applicable. Any certification status may be independently verified through the applicable certification authority.

B. HIPAA-Compliant Data Handling. Patient health information is managed through systems and vendors intended to support privacy and security compliance. Business Associate Agreements may be maintained with applicable vendors where required by law.

C. Licensed Providers. All medical consultations and any prescriptions issued through or in connection with the Service are performed by licensed healthcare providers holding active licenses in the applicable jurisdiction. No prescription is issued without an individualized clinical evaluation by a licensed provider.

D. Licensed Pharmacies. If a prescription is issued and sent to a pharmacy partner, pharmacy services are performed by licensed pharmacies that are separate and independent from Testosterone Shots. Testosterone Shots does not act as, and is not licensed as, a pharmacy in any jurisdiction.

E. Pharmacy Payment and Billing. Testosterone Shots does not collect payment for prescription-only or pharmacy-only medication through Stripe or through the website checkout. The pharmacy contacts the patient directly to verify shipping information, verify billing information, and collect payment for the medication.

F. State Telehealth Compliance. Services are made available only in states where the applicable telehealth services are legally permitted. Testosterone Shots may restrict access based on applicable state telehealth laws, provider licensure, pharmacy requirements, laboratory requirements, and other regulatory considerations.
